THE OPPORTUNITY

Job holder shall follow up on certain legal functions and provide the legal support for Lafarge Cement Jordan, under the supervision of the country Head of Legal and Compliance and in coordination with the Legal & Compliance team and with the Group where applicable.

MAIN RESPONSIBILITIES:

Litigation:

  • Represent LCJ in all assigned legal disputes and litigation against all courts and arbitration committees. 
  • Receive court servings and compile and organize all elements related to a court case, and issue a preliminary opinion to be transmitted to the attorney who is to handle the case or and/or to be handled by him/her as decided by the management under the supervision of the Head of Legal and Compliance.
  • Elaborate regulations and observance of legal procedures to ensure that the activities of the company comply with the law.
  • Establish a prompt and reliable follow up on litigation, and to collaborate with LCJ’s external attorneys representing its interests in front of courts and tribunals to safeguard company’s interest.
  • Inform the management and provide professional advice regarding legal developments, actual and anticipated, affecting company activities to guide them legally in decision making.
  • Report on status of litigation to present estimates of risk and financial exposure. 
  • Negotiating settlement agreements for all law suits in order to reduce compensations amounts. 

Legal Reviews and Company’s Legal Status:

  • Handle all assigned legal reviews and consultancies in timely accurate manner.
  • Ensure that the requirements of company law to which the corporation is subject as a legal entity are met (certifications, follow up intellectual property registrar, permits / licenses , stock exchange and securities commission…etc.). 
  • Active and constructive involvement in the drafting of LCJ’s new rules and regulations, policies, contracts, official letters and correspondences with third parties whether in the private or public sector.
  • Promote for good corporate governance and support the implementation of the Group’s Code of Business Conduct, to ensure compliance with Group policies and procedures.

Competition:

  • Follow up on potential or actual antitrust investigations or litigation, in close interaction with Group Competition Team and with the assistance of qualified antitrust lawyers.
  • Establish links with the local competition authorities, as appropriate, to handle of any potential verification by regulatory authorities.

Support Responsibilities:

  • Participate in drafting the minutes of meetings and resolutions of the Board & General Assembly to ensure their proper formalization upon need. 
  • Organize General Shareholder’s meetings (ordinary & extraordinary), and prepare the documentation related to General Shareholder’s Meetings and Supervisory Council’s Meetings.
  • Review binding contracts – when assigned – and provide legal opinion/review to stakeholder/s.
  • Actively participate in internal investigations to ensure fairness, equity and compliance when assigned.
