Job Description:**Position Summary:**

The Governance, Risk, and Compliance (GRC) Officer assumes a critical leadership role in upholding the organization’s commitment to integrity, transparency, and full regulatory compliance. This position requires a commitment to the highest standards of corporate governance and involves direct support to the Board of Directors (BOD) and its sub-committees through the management of meeting logistics, including agenda preparation, distribution of materials, meticulous minute-taking, and diligent execution of post-meeting action items. Furthermore, the GRC Officer is responsible for maintaining effective professional relationships with the Capital Market Authority (CMA) and other regulatory bodies, ensuring their satisfaction and facilitating open communication. Key responsibilities include the development and implementation of a comprehensive annual compliance plan to address evolving regulatory requirements, the proactive updating of company policies in collaboration with department heads, and the provision of timely and accurate advice on regulatory matters to all stakeholders. The GRC Officer also oversees investor relations, manages announcements on Tadawul and the CMA platforms, and develops a robust Risk Register utilizing Risk & Control Self-Assessment (RCSA) methodologies to identify, evaluate, and mitigate organizational risks. This position is further responsible for the preparation and execution of Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs). A thorough understanding of legal affairs is essential to effectively achieve these governance, compliance, and risk management objectives, ultimately fostering stakeholder trust and safeguarding the company’s reputation.

**Key Responsibilities:**

* **Corporate Governance Leadership:** Provide comprehensive support to the Board of Directors and its sub-committees, managing meeting logistics, preparing agendas, ensuring accurate record-keeping, and facilitating informed decision-making.
* **Regulatory Relationships:** Serve as the primary liaison with regulatory bodies, maintaining open communication channels to proactively address regulatory changes and ensure continuous compliance with industry standards.
* **Compliance Oversight:** Develop, implement, and monitor comprehensive compliance programs to ensure adherence to all relevant laws, regulations, and industry standards.
* **Risk Management:** Identify, assess, and prioritize organizational risks, developing and implementing mitigation strategies to enhance organizational resilience and proactively manage potential threats.
* **Policy Development:** Establish and enforce company-wide compliance policies and procedures that cultivate a culture of integrity and ethical conduct.
* **Training & Awareness:** Conduct regular training sessions to educate employees on compliance-related topics, fostering a comprehensive understanding of compliance requirements throughout the organization.
* **Reporting & Communication:** Prepare and present comprehensive reports on governance, risk, and compliance activities to senior management and the Board of Directors, documenting incidents, breaches, and managing remediation efforts.

**Qualifications:**

* A bachelor’s degree in law, finance, business administration, or a related field.
* Relevant certifications in governance, risk management, or compliance are preferred.
* Demonstrated knowledge of corporate governance and regulatory frameworks.
* Excellent communication and interpersonal skills.
* Proven ability to collaborate effectively with diverse stakeholders.
* A disclosure certificate is required.
